LocatePros, LLC ("LocatePros," "we," "us") is an Indiana limited liability company that facilitates wholesale vehicle dealer trades between franchised dealerships. This Privacy Policy explains what information we collect, how we use it, and the choices you have. It applies to locate-pros.com and to information collected when you engage our sourcing services.

What we collect

When you submit a locate request, send us a list, or otherwise contact us, we collect the information you provide, which typically includes:

  • Dealership name, location, dealer license or BAC (Business Associate Code) where provided, and contact information
  • Your name, title, work email, and work phone number
  • Unit lists, VINs, and any notes or documents you send describing inventory or unit needs
  • Communications between you and LocatePros (email, phone, text)

In the course of facilitating a transaction, we may also collect or generate vehicle data — including VIN-derived year, make, model, trim, equipment, mileage, condition, accident history, title status, and any open safety recall status pulled from NHTSA, manufacturer, or third-party VIN-lookup services. Recall and title data are collected so that selling Dealers can meet their disclosure obligations under 49 U.S.C. § 30120(i) and 49 C.F.R. Part 580, and so that buying Dealers can make informed placement decisions.

When you visit the website, we and our service providers automatically collect standard log data — IP address, browser type, device type, pages visited, referrer, and approximate location derived from IP.

How we use it

  • To facilitate dealer trades — confirming or negotiating numbers, locating units, and coordinating freight and paperwork between you and a buyer or seller in our network
  • To communicate with you about active or potential transactions
  • To improve the accuracy of our pay scales and the responsiveness of our buyer network
  • To comply with tax, accounting, and other legal obligations

Who we share it with

We share the minimum information needed to complete a transaction. Specifically:

  • The other dealer in the trade. If you are a seller, the buying dealer will see the unit information needed to complete the purchase (VIN, year/make/model/trim, mileage, condition, title status). If you are a buyer, the selling dealer sees the same about your needs.
  • Freight providers. Pickup and delivery contact information is shared with the carrier transporting the unit.
  • Service providers. Email and form-submission tools (currently Formspree and Google Workspace), document signing (e.g., DocuSign), and accounting software process information on our behalf under contractual confidentiality obligations.
  • When required by law. We may disclose information to comply with a subpoena, court order, audit, or other legal process.

We do not sell or rent your information. We do not use your contact list or unit data for marketing to other parties.

How long we keep it

We retain transaction-related records (locate requests, agreements, invoices, communications) for at least seven years to satisfy tax, accounting, and audit requirements. Marketing inquiries and general correspondence are retained for as long as the relationship is active or as needed for our records.

Cookies and analytics

Our website is hosted on Squarespace. Squarespace sets a small number of first-party cookies and uses Google Analytics on our behalf to give us aggregate, non-identifying information about how the site is used (pages visited, approximate location by IP, device type, referrer, time on page). Typical cookies include:

  • Squarespace functional cookies (e.g., crumb, ss_cvr, ss_cvt) — used to operate the site, remember visitor sessions, and detect abuse.
  • Squarespace analytics cookies (e.g., ss_cvisit, ss_cpvisit, SS_ANALYTICS_ID) — used to count unique visitors and page views.
  • Google Analytics cookies (e.g., _ga, _gid, _gat) — set by Squarespace's integrated analytics to measure aggregate site usage.

We do not run third-party advertising trackers, retargeting pixels, cross-site tracking tools, or social-media advertising integrations on our site. We do not sell or share dealer information with advertising platforms.

You can disable cookies at any time using your browser's privacy controls. Squarespace publishes a current cookie list and opt-out controls at squarespace.com/cookies. You can opt out of Google Analytics across all sites using Google's browser add-on at tools.google.com/dlpage/gaoptout. Disabling cookies may affect site functionality.

If you visit our site from the European Economic Area, the United Kingdom, or any other jurisdiction that requires prior consent for non-essential cookies, you may decline analytics cookies through your browser before continuing.

Your choices

You may request to access, correct, or delete the information we hold about you by emailing privacy@locate-pros.com. We will respond within a reasonable time. Some records (e.g., completed transaction records) cannot be deleted while retention obligations are in effect.

Security

We use reasonable administrative, technical, and physical safeguards to protect the information we hold. No system is perfectly secure; if we become aware of unauthorized access affecting your information, we will notify you as required by applicable law.

Changes to this policy

We may update this Privacy Policy from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the website after changes means you accept the updated policy.

These Terms of Service ("Terms") govern your access to and use of the LocatePros website at locate-pros.com. By using the site or engaging our services, you agree to these Terms.

Who can use the site

This site is intended for licensed, franchised motor-vehicle dealerships and their authorized employees in the United States. You represent that you are at least eighteen (18) years old and that you have authority to act on behalf of the dealership you list when you submit a locate request or unit list.

What we do (and don't do)

LocatePros facilitates dealer-to-dealer trades of new and used vehicles between franchised dealerships. We are not a vehicle buyer, not a retail seller, and not a financing source. We do not take possession of the vehicles we facilitate.

The pricing displayed on the Offers page reflects pay scales our franchised-dealer buyer network is hitting on new-unit dealer trades during the week the page is updated. Pricing is indicative, not binding. Numbers shown are starting points and may vary based on mileage, condition, equipment, load packaging, current incentive programs, and final negotiation. Pricing is subject to change at any time.

Submissions and confidentiality

When you submit a locate request or unit list, you authorize LocatePros to share the unit information necessary to facilitate the trade with prospective buying or selling dealers in our network. We treat dealership-identifying information with discretion and share only what is needed to complete each transaction.

No warranties on vehicle data

Vehicle specifications, mileage, equipment, and condition are provided by the seller or by a third-party VIN lookup. LocatePros does not independently verify this information and makes no warranty as to its accuracy. Buyers are expected to inspect units or rely on the selling dealer's representations.

Limitation of liability

To the maximum extent permitted by law, LocatePros' total aggregate liability arising out of or relating to the website or our services will not exceed the greater of (a) the fees actually paid to LocatePros by the Dealer in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100). This limitation does not apply to liability arising from (i) fraud, (ii) gross negligence, (iii) willful misconduct, (iv) bodily injury or death proximately caused by LocatePros' negligence, or (v) LocatePros' indemnification obligations under the Indemnification section below. LocatePros is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages.

Indemnification

Each party agrees to indemnify, defend, and hold harmless the other party and its officers, employees, and agents from any third-party claims, losses, damages, or reasonable expenses (including reasonable attorneys' fees) arising out of the following:

  • Dealer's obligations. (i) Dealer's use of the website or services; (ii) any misrepresentation Dealer makes about a unit, its title status, mileage, equipment, or condition, or about Dealer's authority to act on a dealership's behalf; or (iii) Dealer's violation of these Terms or applicable law.
  • LocatePros' obligations. (i) LocatePros' fraud, gross negligence, or willful misconduct; or (ii) LocatePros' material breach of these Terms.

The indemnified party will (a) promptly notify the indemnifying party in writing of the claim, (b) give the indemnifying party reasonable control of the defense and settlement (provided the settlement does not impose any non-monetary obligation on the indemnified party without its consent), and (c) reasonably cooperate at the indemnifying party's expense. The indemnified party may participate in the defense with its own counsel at its own expense.

Governing law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Marion County, Indiana, and you consent to the exclusive jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the site or services after changes means you accept the updated Terms.

Dealer Agreement

This Dealer Agreement ("Agreement") governs the relationship between LocatePros, LLC ("LocatePros") and any franchised motor-vehicle dealership ("Dealer") that engages LocatePros to source, sell, or facilitate the trade of a vehicle. By submitting a locate request, sending a list of units, or otherwise initiating a transaction with LocatePros, Dealer agrees to the terms below.

1. LocatePros' role

LocatePros acts as a facilitator between two franchised dealerships in a wholesale dealer trade. LocatePros does not take possession of any vehicle, does not hold title to any vehicle, and is not a buyer or seller in the transaction. LocatePros' role is to: (a) confirm or negotiate the pay scale for a unit, (b) place the unit with a buying or selling dealer in its network, and (c) coordinate transportation and paperwork to complete the trade. LocatePros only facilitates trades between two licensed, franchised motor-vehicle dealers and works within the franchise system.

2. Pricing and fees

The number agreed between LocatePros and the selling Dealer (the "Sales Price") is the amount the selling Dealer receives, net of any LocatePros fee. The buying Dealer is responsible for the LocatePros service fee and freight charges, in addition to the Sales Price. Sellers pay $0 to LocatePros.

Sales prices displayed on the Offers page are indicative starting points for new-unit dealer trades and are subject to negotiation, mileage, condition, equipment, current incentive programs, and final buyer commitment. Pricing may change at any time.

3. Dealer representations

Dealer represents and warrants to LocatePros and to the other dealer in the trade that:

  • Dealer is a duly licensed franchised motor-vehicle dealer in good standing in its state
  • The individual submitting the request is authorized to bind Dealer
  • Dealer's participation in any transaction facilitated by LocatePros does not violate any franchise agreement, dealer sales and service agreement, or similar manufacturer or franchisor agreement to which Dealer is a party. Dealer is solely responsible for confirming and maintaining its franchise compliance, and any manufacturer or franchisor consent or notice required for the transaction
  • For seller-side transactions, Dealer further represents and warrants:
    • (a) Dealer holds clear, unencumbered title to the unit, or will hold such title prior to transfer, and the title is not branded as salvage, flood, total loss, rebuilt, manufacturer buyback, or otherwise — unless that brand is expressly disclosed to LocatePros and to the buying Dealer in writing prior to placement;
    • (b) the unit's year, make, model, trim, VIN, mileage, equipment, and condition are accurately represented, and any prior accident or material damage history known to Dealer has been disclosed;
    • (c) Dealer will comply with federal and state odometer disclosure requirements applicable to the transfer, including 49 C.F.R. Part 580 where applicable;
    • (d) for new vehicles, Dealer is not aware of any open federal safety recall affecting the unit that has not been remedied prior to transfer, consistent with 49 U.S.C. § 30120(i); for used vehicles, Dealer will disclose any known open safety recall affecting the unit; and
    • (e) the unit is not, to Dealer's knowledge, reported stolen and is not subject to any encumbrance or lien that has not been disclosed to the buying Dealer.
  • For buyer-side transactions: Dealer has the financial capability to complete the purchase per the agreed terms

4. Title and risk of loss

Title to the unit passes directly from selling Dealer to buying Dealer in accordance with the terms agreed between them. Risk of loss passes upon pickup by the freight carrier, unless otherwise agreed in writing.

5. Payment terms

Unless otherwise agreed in writing for a specific transaction, payment from buying Dealer to selling Dealer is due upon delivery of the unit and clear title. LocatePros' service fee is invoiced to the buying Dealer and is due within ten (10) business days of invoice.

6. Cancellation and cost allocation

A "confirmed transaction" is one in which a Sales Price has been agreed in writing and the unit has been placed with a buying Dealer.

  • (a) Pre-dispatch cancellation. Either Dealer may withdraw from a confirmed transaction by written notice to LocatePros before the freight carrier has been dispatched, with no freight or restocking cost owed to the other Dealer — provided the cancellation is not the result of a misrepresentation by the cancelling party.
  • (b) Post-dispatch cancellation. After the freight carrier has been dispatched, cancellation requires the written consent of both Dealers and LocatePros. The Dealer initiating the cancellation is responsible for actual freight charges incurred (including return freight, if applicable) and any documented restocking, holding, or third-party fees reasonably incurred by the non-cancelling Dealer as a direct result of the cancellation, unless the Dealers agree in writing to split or reallocate those costs.
  • (c) Cancellation for misrepresentation or material defect. If a Dealer cancels because the unit, as actually delivered or inspected, materially differs from the description provided at the time of placement — including but not limited to title status, mileage, equipment, condition, accident history, or open recall status — the selling Dealer is responsible for return freight and any reasonable inspection or remediation costs, and the buying Dealer is not obligated to complete the purchase.
  • (d) LocatePros' service fee. LocatePros' service fee is earned upon confirmation of the Sales Price and placement of the unit. If the cancellation is due to a material misrepresentation by the selling Dealer under subsection (c), the fee is waived as to the buying Dealer. In all other cancellation scenarios, LocatePros may, in its sole discretion, waive, reduce, or invoice the fee based on work performed.
  • (e) Repeated cancellations. A Dealer that cancels three (3) or more confirmed transactions in any rolling twelve (12) month period — other than cancellations covered by subsection (c) — may be suspended or removed from the LocatePros network at LocatePros' discretion.

7. Disputes

If a dispute arises between the two dealers in a trade — for example, regarding vehicle condition, mileage, or undisclosed damage — the dealers will work in good faith to resolve it directly. LocatePros will reasonably assist with documentation but is not a party to the underlying sale and has no obligation to indemnify either dealer for the unit itself.

8. Confidentiality

Each Dealer agrees to keep confidential the pricing, terms, and counterparty information disclosed during a transaction, except as needed to complete the transaction or as required by law.

9. Term and termination

This Agreement applies on a transaction-by-transaction basis. There is no minimum commitment, no monthly fee, and no long-term obligation. Either party may decline to engage in any specific transaction at its discretion.

10. Governing law and disputes

This Agreement is governed by the laws of the State of Indiana. Any dispute between LocatePros and Dealer will be resolved in the state or federal courts located in Marion County, Indiana.

LocatePros is committed to making locate-pros.com usable by everyone, including dealership employees who rely on assistive technologies such as screen readers, screen magnifiers, voice recognition software, switch devices, or keyboard-only navigation.

Our standard

We work toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, published by the World Wide Web Consortium. WCAG 2.1 AA is the standard most commonly referenced by U.S. federal accessibility guidance and by Title III of the Americans with Disabilities Act.

What we do

  • Semantic structure. Pages use proper heading hierarchy, landmark regions, and descriptive link text so screen readers can navigate the site.
  • Color contrast. Body text, button labels, and form fields are designed to meet at least 4.5:1 contrast against their background, and large display text meets at least 3:1.
  • Keyboard navigation. All interactive elements — including the Offers page search box, jump links, and form fields — can be reached and operated using a keyboard.
  • Focus visibility. Focused links and buttons display a visible focus indicator.
  • Alternative text. Informative images include descriptive alt attributes; decorative images are marked so they are skipped by assistive technologies.
  • Resizable text. Pages are designed to remain readable when zoomed up to 200% in modern browsers.
  • No accessibility overlays. We do not use third-party "accessibility overlay" widgets, which research and court rulings have shown can create new barriers rather than remove them.

Known limitations

Our website is hosted on Squarespace 7.1, which provides the underlying template and component library. While Squarespace's default components are designed against WCAG 2.1 AA, we are actively reviewing custom code blocks (including the Offers pricing table and this Legal page) to confirm conformance and to fix any issues we identify. If you encounter a barrier that prevents you from using a feature of the site, please tell us using the contact information below — we treat accessibility reports as a priority.

Third-party content

Some content on our site is provided through third-party services (for example, the locate-request form submission service and our hosting provider's analytics). We require our service providers to follow accessibility best practices but cannot fully control the accessibility of content they render.
